Data Room

A secure digital repository containing confidential business documents shared with prospective buyers or investors during M&A due diligence or fundraising.

Virtual data rooms (VDRs) replaced physical data rooms in the 2000s and are now the standard for sharing confidential deal information in M&A, private equity, debt financing, and regulatory proceedings. A typical M&A data room is organized by category — corporate records, financial statements, contracts, IP, real estate, litigation, environmental — and may contain thousands of documents.

Data room management is both an organizational and a strategic task. Sellers control access to documents, track which documents buyers have reviewed, and can use access patterns to infer buyer interest areas. Buyers must identify and review every material document within the diligence period.
